Terms of Service

These Terms of Service ("Agreement") govern the access to and use of the SEPIVEL e-commerce platform by online sellers ("Merchant", "You") and visitors.

1. Platform Scope and Nature of Services

SEPIVEL provides a software-as-a-service (SaaS) and managed storefront deployment solution. The platform equips marketplace sellers with an independent custom online storefront, catalog and inventory synchronization, integrated payments connectivity, and order management tools.

2. Merchant Account Registration & Security

To access the platform console, you must create a merchant account by providing truthful, accurate, and complete business information. You are solely responsible for maintaining the confidentiality of your authentication credentials. Any unauthorized access or security breach must be reported promptly to support@sepivel.com.

3. Acceptable Use and Merchant Obligations

Merchants using SEPIVEL agree to:

  • Sell only products that comply fully with applicable national and international trade regulations;
  • Respect intellectual property, trademark, and copyright laws, ensuring catalog images and descriptions belong to or are licensed to the merchant;
  • Refrain from listing fraudulent, counterfeit, hazardous, or restricted merchandise;
  • Fulfill orders placed by end-consumers honestly, upholding promised delivery timelines and warranties.

We reserve the right to suspend or terminate storefronts found in breach of this Acceptable Use clause without prior notice.

4. Subscription, Pricing, and Payment Terms

Sepivel offers annual subscriptions only, with a 12-month term paid upfront, in accordance with the published commercial tiers or agreed commercial offer. The displayed annual price is the final amount payable, including any taxes Sepivel is legally required to collect. Tax registration and the invoice treatment are stated separately; a final price does not imply VAT or GST registration. Subscriptions remain active through the purchased contract term. Monthly subscriptions, separate setup fees and one-time website purchases are not offered. Any monthly equivalent shown is for comparison only.

5. Intellectual Property Rights

All proprietary software, templates, user interface designs, codebases, APIs, and brand assets comprising the SEPIVEL platform are the exclusive property of SEPIVEL LTD. Merchants retain complete ownership and copyright of their store catalogs, custom photography, product trademarks, and customer records.

6. Service Availability and Limitation of Liability

SEPIVEL is hosted on high-availability edge cloud infrastructure designed to provide 99.9% uptime. However, we do not warrant that service will be completely uninterrupted or error-free at all times. To the maximum extent permitted by law, SEPIVEL shall not be liable for indirect, consequential, or lost-profit damages arising from third-party marketplace API downtime or carrier delays.

7. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the substantive laws of the Republic of Turkey. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the Courts and Execution Offices of Istanbul.
