1. Who we are and how these terms apply
These terms are for businesses. By subscribing you confirm that you act for a business and have authority to bind it. The supplier is SEPIVEL LTD. Your accepted annual agreement, including its stored offer, price, scope and version, takes precedence over this page. Any agreed data-processing terms govern the processing of personal data. We do not change an accepted agreement during its term without your agreement.
2. The service
Sepivel provides software and managed storefront preparation within the scope recorded in your annual offer. Before activation we agree catalog coverage, content permissions, who keeps stock up to date, domain connection and payment-provider verification. Plans do not include continuous eBay stock synchronisation. A preview shows what your storefront could look like. It is not an approval, a complete catalog or a store that is ready to take orders. We do not guarantee sales results or a specific level of uptime.
3. Annual term, payment and renewal
Every subscription is one 12-month term paid upfront. Your accepted agreement records the start and end dates, the final price, the currency and the tax treatment. Monthly equivalents shown on our site are for comparison only. We do not sell monthly subscriptions, separate setup fees or one-time website sales. Renewal is manual: to continue, you accept and pay for a new annual offer. We never renew or charge you automatically.
4. Cancellation and refunds
You can ask support to decline renewal or to close the service early. If you decline renewal, you keep access until the end of the term you paid for. Closing early at your request does not entitle you to a refund of the unused time. Because this is a business subscription, no consumer cooling-off period applies. Refunds are governed by your accepted agreement, any guarantee we have expressly given, and your statutory rights. See the refund policy.
5. Your responsibilities and your content
Give us accurate business information, keep your credentials safe, tell us promptly about suspected misuse, and keep your products, prices and stock accurate. You are the seller of your goods and are responsible for fulfilment, taxes, product safety, customer disclosures and consumer rights. You keep your rights in your content and customer data, and you confirm you have the permissions we need to process and display them for the agreed service. Access to a marketplace listing is not a licence to use its content. We keep our rights in our software and templates, subject to third-party licences. See preview content use and removal.
6. Suspension and termination
We may restrict access straight away to deal with unlawful content, a security incident or a rights complaint, and we will give reasons and notice where the law allows and it is practicable. If either party commits a material breach that can be remedied, the other party gives 14 calendar days to put it right before terminating. Either party may terminate for a breach that is not remedied, and for insolvency where the law permits. If we terminate for convenience, or you terminate because we committed an unremedied material breach, we refund the prepaid fees for the remaining unused term.
7. Data export and end of service
On request, our team prepares an export of your catalog and customer and order records. You can ask for it before closing your account and for 30 calendar days after the term ends or is terminated, subject to identity checks and to legal and security restrictions. The format and timing are recorded in your annual agreement and data-processing terms. We do not host your store indefinitely after the term, and no ownership of our software transfers to you. We keep records needed for tax, disputes or legal obligations as described in the privacy notice.
8. Service issues and liability
Tell us about any service defect with the relevant details and we will investigate and work to fix it. Outages at payment, hosting or marketplace providers, and your own dependencies, can affect the service. Nothing in these terms excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or anything else that cannot lawfully be excluded. Any other limit on liability is set out in your accepted agreement.
9. Governing law and disputes
These terms and any dispute about them are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. Please contact support first so we can try to resolve the issue. Mandatory rights and jurisdiction rules in your own country, including Australian statutory guarantees and any consumer or business-protection law of the United States or France that applies to your purchase, are not affected.
